Terms and Conditions for Apexric Finance Private Limited

These Terms and Conditions (“Terms”) govern the use of services provided by Apexric Finance Pvt. Ltd. (“Company,” “we,” “our,” or “us”). By engaging with our services, including but not limited to Investment Management, Tax and Advisory, Loan Lending, Auditing, Accounting and Bookkeeping, Registration and Filing, and Business Consulting, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree with any part of these Terms, please discontinue the use of our services immediately.

1. Definitions

In these Terms, the following definitions apply:

  • Services: Refers to all services offered by Apexric Finance Pvt. Ltd., including Investment Management, Tax and Advisory, Loan Lending, Auditing, Accounting and Bookkeeping, Registration and Filing, and Business Consulting.
  • Client: Any individual, entity, or organization engaging with our services.
  • Confidential Information: Any information disclosed by one party to another, whether orally or in writing, that is identified as confidential or would reasonably be understood as confidential.
  • Agreement: Refers to the contract formed between the Company and the Client upon acceptance of the Terms.

2. Scope of Services

Apexric Finance Pvt. Ltd. provides various professional services, including:

2.1 Investment Management

We offer investment advisory and management services, including portfolio management, financial planning, and asset allocation strategies tailored to individual or corporate investment objectives. Our services are advisory in nature, and we do not guarantee specific financial outcomes or returns.

2.2 Tax and Advisory

Our tax-related services include tax filing, tax planning, compliance, and strategic advisory. We assist with local, state, and federal tax regulations. However, the accuracy of tax filings is contingent upon the information provided by the Client.

2.3 Loan Lending

We offer business loans, personal loans, startup loans, equipment financing, and other credit products. Loan approvals are subject to meeting eligibility criteria, and the terms of each loan will be provided in a separate loan agreement.

2.4 Auditing

Our audit services are designed to provide independent assurance on financial statements and operations. The scope of auditing services will be defined in the engagement letter, and the Client must provide all relevant records for accurate audits.

2.5 Accounting and Bookkeeping

We provide full-spectrum accounting and bookkeeping services, including financial statement preparation, ledger maintenance, and transaction reconciliation. These services are provided based on the information supplied by the Client.

2.6 Registration and Filing

We assist with various registrations, including company incorporation, GST registration, and other compliance filings. All legal and statutory requirements will be managed as per applicable laws, but the Client is responsible for timely submission of required documents.

2.7 Business Consulting

Our consulting services include strategic, financial, and operational advice aimed at improving business performance. We provide analysis, recommendations, and implementation support; however, results are dependent on Client actions and market conditions.

3. Engagement and Client Responsibilities

By engaging in our Services, the Client agrees to the following:

  • Accurate Information: The Client agrees to provide accurate, complete, and up-to-date information as required for the provision of Services. Failure to provide accurate information may result in delays or inaccuracies in the Services provided.
  • Cooperation: The Client agrees to cooperate fully with the Company, providing timely access to necessary records, data, and personnel.
  • Compliance: The Client is responsible for ensuring compliance with applicable laws and regulations, including tax laws, financial reporting, and corporate governance.

4. Fees, Billing, and Payment Terms

4.1 Fees

Fees for Services are determined based on the nature, complexity, and duration of the engagement. The fee structure will be communicated in advance and documented in a Service Agreement or engagement letter.

4.2 Invoicing

Invoices will be issued upon completion of services or as outlined in the Service Agreement. Invoices are payable within Payment Terms days of the invoice date unless otherwise agreed.

4.3 Late Payments

Late payments are subject to interest per day/month. The Company reserves the right to suspend or terminate services in case of non-payment.

4.4 Refund Policy

All payments made for Services are final and non-refundable, except as expressly provided in the applicable engagement letter or agreement. If the Company is unable to complete a Service due to Client actions or failure to provide necessary information, no refunds will be issued.

5. Confidentiality

Both parties agree to maintain the confidentiality of any non-public, confidential, or proprietary information disclosed during the course of the engagement. This obligation will survive the termination of the Agreement.

5.1 Client Data

We will treat any financial or business data provided by the Client as confidential and will use it solely for the purpose of delivering the Services. We will not disclose this data to any third party unless required by law or with the Client’s written consent.

5.2 Company Information

The Client agrees to keep confidential any proprietary methods, tools, or knowledge shared by the Company during the engagement and to use such information solely for the purposes of the Services.

6. Limitation of Liability

6.1 No Guarantee

While we strive to deliver Services to the best of our ability, we do not guarantee specific results or outcomes. Financial, tax, or business decisions carry inherent risks, and the Company is not liable for any losses resulting from the Client’s decisions.

6.2 Indirect Damages

The Company is not liable for any indirect, special, incidental, or consequential damages (including lost profits) arising from the use of our Services, even if advised of the possibility of such damages.

6.3 Total Liability

The total liability of Apexric Finance Pvt. Ltd. for any claims arising out of or related to these Terms or the provision of Services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.

7. Termination of Services

7.1 Termination by Client

The Client may terminate the engagement by providing written notice at any time. Upon termination, the Client is responsible for payment of any outstanding fees for Services rendered up to the termination date.

7.2 Termination by Company

The Company reserves the right to terminate the engagement if the Client breaches these Terms or engages in unlawful activities. Upon termination, the Company may retain any data or information necessary to fulfill its legal obligations.

7.3 Effect of Termination

Upon termination, the Company will cease all services and return any Client documents in its possession. All outstanding fees become immediately due and payable.

8. Intellectual Property

8.1 Ownership

The Company retains all intellectual property rights in materials, methodologies, systems, and tools used or developed during the provision of Services. Any deliverables provided to the Client are for personal or internal business use only.

8.2 License to Use

The Company grants the Client a limited, non-exclusive, non-transferable license to use any deliverables provided as part of the Services. This license is subject to full payment of fees and is limited to the scope of the engagement.

9. Data Protection and Privacy

We are committed to protecting your personal data. The collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Force Majeure

Neither party will be liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws. Any disputes arising from or related to these Terms or the Services provided will be resolved in the courts.

11.2 Arbitration

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiations. If the dispute cannot be resolved, it will be submitted to binding arbitration in accordance with the rules.

12. Changes to Terms

We reserve the right to modify or update these Terms at any time. Any changes will be posted on our website and communicated to existing Clients. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.

13. Miscellaneous

13.1 Entire Agreement

These Terms, along with any Service Agreement or engagement letter, constitute the entire agreement between the parties and supersede any prior agreements, understandings, or representations.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

No failure or delay by either party in exercising any right or remedy provided by law or under these Terms will constitute a waiver of that right or remedy.

13.4 Assignment

The Client may not assign or transfer any rights or obligations under these Terms without the prior written consent of the Company.
